These terms govern applications and initial access to the KONGIA Partner Program. A final commercial relationship may require an additional signed agreement.
1. Application and eligibility
Applicants must provide accurate, current, and authorized business information. Submitting an application does not guarantee approval, exclusivity, credit, or product availability.
2. Review and approval
KONGIA may verify references, market coverage, and operating capability. Approval may assign a discount, VIP / Key Account, or markup level and may include additional conditions.
3. Territory and exclusivity
Territory protection or exclusivity exists only when expressly stated in a signed written agreement. Promotional website content alone does not grant territory rights.
4. Pricing and confidentiality
Partner pricing, discounts, and commercial terms are confidential. They may vary by tier, product, region, currency, volume, tax, freight, and validity period. A confirmed quotation or approved order prevails over informational portal pricing.
5. Orders and payment
Orders are subject to acceptance, availability, commercial validation, and payment terms. A portal order is not accepted until KONGIA confirms it.
6. Brand and intellectual property
Partners may use only approved KONGIA trademarks, images, datasheets, and materials, without altering their meaning or registering confusingly similar names or domains. Authorization ends when the relationship ends.
7. Conduct and compliance
Partners must follow applicable competition, anti-bribery, sanctions, import, export, privacy, and product-safety laws. Misleading claims and unauthorized promises on behalf of KONGIA are prohibited.
8. Information and confidentiality
Each party will protect non-public commercial information received from the other. Personal data is also governed by the Privacy Policy.
9. Suspension or termination
KONGIA may suspend access for breach, security risk, fraud, non-payment, or brand misuse. Confidentiality, payment, and intellectual-property obligations survive where applicable.
10. Limitations and later agreements
The portal and informational content are provided subject to availability. Final warranties, liabilities, governing law, and dispute terms will be stated in the applicable quotation, order, or signed commercial agreement. A signed agreement prevails in case of conflict.
